UPDATE: DBV Technologies (DBVT) - The ATM Refills, One Day After the Warning Letter

Yesterday’s 10-Q disclosed the Fareva Amboise cGMP warning letter. Today’s press release refreshes a $150M ATM. That sequence is the whole story.

Yesterday I downgraded DBVT from BUY to WATCH after finding an FDA warning letter buried in the Risk Factors of the Q2 10-Q — an active cGMP enforcement action at the sole contract manufacturer of the Viaskin patch. I closed that post by saying “every dollar spent on Fareva Amboise remediation and Fareva La Vallée buildout compresses that runway.”

Twenty-four hours later, DBV filed an automatically effective S-3ASR refreshing the at-the-market program up to $150 million of ADSs, sales agent Citizens JMP, use of proceeds explicitly including “manufacturing expansion” and BLA activities. The stock is at $14.70, down another ~1% today and down ~40% from March highs.

The market is being asked to underwrite the remediation. Let me walk through what that means.

The Receipts

  • The filing. Form S-3ASR filed today, automatically effective. Sales agreement with Citizens JMP dated September 5, 2025 — this is a refresh of an existing program, not a new facility, carrying forward previously registered but unsold capacity and adding new capacity to keep total ATM headroom at $150M. Each ADS represents five ordinary shares.

  • The dilution ceiling. French Prospectus Regulation exemption caps qualified-investor issuance at just under 30% of already-admitted securities over a rolling 12 months. That is the mathematical maximum overhang; the actual pace is at management’s discretion and market-price-dependent.

  • The stated use of proceeds. “Manufacturing expansion, our BLAs in ages 4 through 7 and 1 through 3, launch preparation of Viaskin Peanut in ages 4-7, if approved, development of our product candidates, and for working capital and other general corporate purposes.” The word “manufacturing” leading the list, one day after the Amboise warning-letter disclosure, is not a coincidence.

  • The timing. 10-Q filed July 16. ATM prospectus filed July 17. The company had this teed up.
